HOST AGREEMENT

• "Company", "Platform", "Guest", "Coins", and "Ride" shall bear the meanings assigned to them in the Terms and Conditions.
• "Host" means the party executing this Agreement by way of digital acceptance, being a verified owner or lawful possessor of a private vehicle who offers to share a Ride through the Platform.
• "Cost-Share Amount" means the amount payable by a Guest to a Host, being the Guest’s proportionate share of the actual, verifiable expenses of the Ride — namely fuel consumed, toll charges, and parking charges — calculated automatically by the Platform using distance and vehicle category as a standardised proxy for such expenses, and containing no element of profit, markup, or commercial fare.

• The Host acknowledges and agrees that the Host is an independent individual sharing their own private journey and is not an employee, agent, contractor, partner, or representative of the Company. Nothing in this Agreement creates an employment, agency, or partnership relationship between the Host and the Company.
• The Host acknowledges that the Company does not direct, control, or supervise the manner in which the Host operates their vehicle or conducts a Ride, and that the Host retains full and exclusive control over the vehicle at all times.

A Host must be not less than eighteen (18) years of age, hold a valid and current driving licence for the class of vehicle offered, hold lawful ownership or right of possession of such vehicle, and hold a valid certificate of registration and a valid motor insurance policy for such vehicle, each in accordance with the Motor Vehicles Act, 1988.

• The Host shall complete verification of mobile number, Aadhaar details, driving licence, and vehicle registration certificate prior to being permitted to list a Ride. The Host warrants that all documents submitted are genuine, current, and lawfully held by the Host.
• The Company reserves the right to require periodic re-verification of any document and to suspend the Host’s account pending satisfactory re-verification.

• The Host warrants that the vehicle offered is roadworthy, validly registered, comprehensively insured, and compliant with all applicable provisions of the Motor Vehicles Act, 1988, the Central Motor Vehicles Rules, 1989, and any applicable state motor vehicle rules, including provisions relating to pollution-under-control certification.
• The Host shall be solely responsible for ensuring continued compliance with all statutory requirements applicable to the vehicle and its operation throughout the subsistence of this Agreement.

The Host may list a Ride only in respect of a journey which the Host is already undertaking or genuinely intends to undertake for the Host’s own purposes. The Host shall accurately specify the origin, destination, route, date, time, available seats, and vehicle category at the time of listing.

• The Host shall maintain a sufficient Coins balance to publish a Ride. Coins are deducted from the Host’s Wallet at the time of publishing the Ride, in accordance with the Company’s prevailing Coins policy, being five (5) Coins for a two-wheeler Ride and ten (10) Coins for a four-wheeler Ride, as may be revised from time to time and notified on the Platform. Coins represent only a platform-usage charge, are payable solely by the Host, and do not form part of, and are never deducted from, the Cost-Share Amount payable by the Guest.
• Coins deducted upon publishing a Ride are non-refundable in the event of cancellation, as more particularly set out in the Cancellation and Refund Policy.

• The Cost-Share Amount payable by a Guest is determined automatically by the Platform as a proportionate contribution towards the actual, verifiable cost of the journey, comprising fuel consumed, toll charges, and parking charges attributable to the Ride. The Platform expresses this contribution through pre-defined per-kilometre ranges by vehicle category, which are calibrated to approximate such actual expenses and no more. The Host shall have no right to manually alter, negotiate, or supplement the Cost-Share Amount so determined, and shall not levy or accept any charge in addition to the fuel, toll, and parking costs actually incurred in respect of the Ride.
• The Host acknowledges that the Cost-Share Amount represents solely a proportionate sharing of actual travel expense — being fuel, toll, and parking costs — and includes no profit, markup, or commercial fare component. The Host undertakes not to charge, accept, or solicit any amount beyond such actual cost-share, and not to represent or hold out the Services as commercial passenger transportation.

The Cost-Share Amount is payable directly by the Guest to the Host upon completion of a Ride, through the payment mode selected within the Platform. The Company does not collect, hold, or process the Cost-Share Amount as an intermediary and receives no commission on such amount.

The Host shall: (a) operate the vehicle safely and in accordance with applicable traffic laws; (b) treat every Guest with courtesy and without discrimination; (c) commence and complete a Ride substantially in accordance with the listed route and timing; (d) not consume alcohol or narcotic substances before or during a Ride; (e) maintain a valid mobile connection for the duration of a Ride to enable live tracking; and (f) cooperate with any safety or grievance investigation initiated by the Company.

The Host shall not: (a) accept any amount in excess of the Platform-determined Cost-Share Amount; (b) solicit off-platform payment or cash exceeding the displayed amount; (c) use the Platform to conduct rides as a primary commercial livelihood in a manner inconsistent with the cost-sharing model; (d) carry more Guests than the listed available seats; or (e) permit any unverified individual to operate the vehicle in place of the Host.

A Host who cancels a confirmed Ride shall be subject to the consequences set out in the Cancellation and Refund Policy, including forfeiture of the Coins deducted for that Ride and, in the case of repeated or unjustified cancellation, suspension of the Host’s account.

• The Host shall, at all times, maintain valid third-party motor vehicle insurance in respect of the vehicle used for a Ride, as mandatorily required under the Motor Vehicles Act, 1988. The Platform does not provide, arrange, or guarantee any insurance coverage for a Ride.
• The Host acknowledges that the Company bears no liability whatsoever for any loss, injury, or damage arising from the Host’s failure to maintain valid statutory insurance, wilful misconduct, operation of the vehicle under the influence of alcohol or drugs, or use of an unregistered or improperly insured vehicle.
• The Host shall remain liable for any third-party liability arising from the operation of the vehicle to the extent not covered by applicable insurance, and the Company’s liability in relation to any insurance arrangement is limited to that of a facilitator and shall not extend to the obligations of the insurer.

The Host shall keep the Platform’s live tracking feature enabled throughout a Ride, ensure the emergency SOS feature is accessible, and promptly report any safety incident through the Platform’s reporting mechanism.

The Host acknowledges that Guests may rate and provide feedback on the Host following each Ride, and that a Host’s rating falling below the threshold prescribed by the Company may result in investigation, restriction, or suspension of the Host’s account.

The Company may suspend or terminate a Host’s account in accordance with the Suspension and Termination clause of the Terms and Conditions, including for breach of this Agreement, safety violations, low ratings, or fraudulent conduct.

The Host shall be solely responsible for determining and discharging any income tax, goods and services tax, or other statutory liability arising from amounts received as Cost-Share Amount, and the Company makes no representation regarding the tax treatment of such amounts.

The Host shall indemnify and hold harmless the Company from any claim, loss, or liability arising from the Host’s operation of the vehicle, breach of this Agreement, or violation of applicable law, including any claim brought by a Guest or third party.

The Company’s liability to the Host shall be limited in the manner set out in the Limitation of Liability clause of the Terms and Conditions, and the Company shall bear no liability for loss, injury, or damage arising from the Host’s operation of the vehicle or conduct during a Ride.

The Host shall not disclose any Guest’s personal information obtained through the Platform for any purpose other than facilitation of the concerned Ride.

Disputes arising under this Agreement shall be resolved in accordance with the Dispute Resolution and Arbitration clause of the Terms and Conditions.

This Agreement shall be governed by the laws of India, and courts at Vizianagaram, Andhra Pradesh shall have exclusive jurisdiction.

The Company may amend this Agreement at any time by publication on the Platform, and continued listing of Rides following such publication constitutes acceptance of the amendment.

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect.

By activating a Host profile on the Platform, the Host confirms unconditional acceptance of this Agreement and consents to its enforceability as a valid electronic contract.
